End User License Agreement

Effective Date: Nov 5, 2026

This End User License Agreement (the "Agreement") is between Advanced Moore Machines Inc., a Delaware corporation doing business as Moores Lab AI, with offices at 2920 Windsor Rd #A, Austin, TX 78703 ("Licensor"), and the customer entity that licenses Licensor's software ("Customer").

Scope. This Agreement covers every Licensor software product, including the MooreIP family (SpecAgent, VerifAgent, DebugAgent, CoverageAgent, DesignAgent, and SignoffAgent), the MooreSoC family (including SOCVerify), and MooreLLM, however Customer obtains it:

  • directly from Licensor, under an order form or quote; or
  • through a cloud marketplace, such as Google Cloud Marketplace, AWS Marketplace, or Microsoft Azure Marketplace, under a public listing or a private offer; or
  • through an authorized reseller.

Professional services, such as Verification-as-a-Service, forward-deployed engineers, and DV engineering augmentation, are covered by a separate services agreement or statement of work, not by this Agreement.

Acceptance. Customer accepts this Agreement by signing an Order that references it, by clicking to accept it, or by installing, deploying, or using the Software. The individual who accepts confirms that they have authority to bind Customer. If Customer does not agree, it must not install, deploy, or use the Software. A signed license agreement between Licensor and Customer that covers the same Software takes precedence over this Agreement.

1. Definitions

  • "Software" means the Licensor software products named in an Order, in object-code form, including any installers, container or virtual-machine images, deployment templates, license servers, admin consoles, models, and updates Licensor provides for them, and any Custom Tooling.
  • "Documentation" means Licensor's user and administrator guides for the Software.
  • "Order" means the document or transaction under which Customer licenses the Software: a Licensor order form or quote, a reseller order, or a Marketplace subscription or private offer. It states the products, License Type, quantities, term, and fees.
  • "Marketplace" means a cloud provider's marketplace through which Licensor offers the Software, such as Google Cloud Marketplace, AWS Marketplace, or Microsoft Azure Marketplace. The company operating it is the "Marketplace Provider".
  • "License Type" means how use of the Software is measured and limited, as stated in the Order and Addendum A: for example floating, node-locked, seat-based, or evaluation.
  • "Deployment Environment" means the places, owned or controlled by Customer, where Customer installs or deploys the Software: on-premises servers, workstations, and data centers (including air-gapped networks), and private or public cloud accounts.
  • "Custom Tooling" means scripts, flows, plug-ins, integrations, configurations, and other tools that Licensor builds or adapts for Customer, for example to connect the Software to Customer's EDA tools, simulators, or design flows.
  • "Authorized Users" means Customer's employees and contractors whom Customer permits to use the Software for Customer's benefit.
  • "AI Provider" means a third-party AI model service that Customer configures the Software to use, such as Anthropic, OpenAI, Azure OpenAI, AWS Bedrock, or Google Vertex AI.
  • "Customer Data" means specifications, RTL, test benches, documents, prompts, generated output, and other content that Customer or its Authorized Users put into, or produce with, the Software.

2. License grant and restrictions

2.1 License. While the Order is active, and subject to this Agreement, Licensor grants Customer a non-exclusive, non-transferable, non-sublicensable license to install and run the Software in the Deployment Environment. The license covers use by Authorized Users, within the License Type and quantities in the Order, for Customer's internal business purposes. Customer may use the Documentation to support that use.

2.2 License Types. The Order states which of these applies:

  • Floating: Concurrent users across Customer's site or network; enforced by Licensor's license server.
  • Node-locked: One user at a time, running one instance, on each machine named in the Order; enforced by host-bound license key.
  • Seat-based: Concurrent users on one deployment, as stated in the Order; enforced by the built-in seat server.
  • Evaluation or pilot: Non-production evaluation for the period in the Order; enforced by time-limited license key.

Product-specific terms are in Addendum A. Customer may not exceed the licensed number of concurrent users, by virtualization or any other means. Evaluation licenses are covered by Section 2.7.

2.3 Restrictions. Customer will not, and will not let anyone else:

  1. copy, modify, or create derivative works of the Software, except for reasonable backups and snapshots inside the Deployment Environment;
  2. reverse engineer, decompile, or disassemble the Software, or try to derive its source code, except where applicable law expressly permits this despite this restriction;
  3. remove, disable, or circumvent any license server, seat server, license key, Marketplace license, usage metering, or other technical limit in the Software, or share or reuse license keys. This includes resetting system clocks, using false or duplicated host IDs, or running extra virtual machines to exceed the licensed users, copies, or seats;
  4. use the Software beyond the License Type, quantities, or Deployment Environment in the Order, or move a Marketplace image of the Software to another cloud or environment;
  5. sell, rent, lease, sublicense, distribute, or offer the Software to third parties, including as a hosted, time-sharing, or service-bureau offering;
  6. remove or change any proprietary notices in the Software or Documentation;
  7. use the Software to build a competing product, or publish benchmarks of it without Licensor's written consent; or
  8. use the Software in breach of law or of an AI Provider's terms.

2.4 Responsibility for users. Customer is responsible for the acts and omissions of its Authorized Users, and for keeping its license keys, passwords, cloud accounts, and API keys secure.

2.5 Deployment options. Depending on the product and the Order, Customer may deploy the Software:

  • on premises, on Customer's own servers or workstations, including air-gapped networks;
  • in Customer's private or public cloud account, from Licensor's installers or images; or
  • from a Marketplace, using the provider's deployment tools.

The license terms are the same in each case. Customer installs and operates the Software unless an Order or statement of work says Licensor will.

2.6 Custom Tooling. Licensor owns Custom Tooling unless a signed statement of work says otherwise. Custom Tooling is licensed to Customer under this Agreement, for use with the Software, for as long as Customer's license to that Software lasts. Where Licensor delivers Custom Tooling in source form, Customer may modify it for its internal use with the Software. Custom Tooling is not supported under Section 6 unless the Order includes it.

2.7 Evaluation and pilot licenses. An evaluation or pilot license may be used only to decide whether to buy a production license. Customer may not use it for production work, for work delivered to Customer's own customers, or for any other commercial purpose. If Customer does, Customer will pay Licensor's then-current list price for a production license, plus maintenance, for the period of that use. Evaluation licenses are provided "as is": the warranty and indemnity in Section 7 do not apply, and Licensor has no support obligation. They end when the evaluation period in the Order ends.

2.8 License servers. Customer will run each license server on the host named in its license key, at the site in the Order. Moving a license server to another site needs Licensor's written approval. If a license server fails or is down for repair, Licensor will, on request, issue a temporary key for one backup server at the same site until the original is restored.

2.9 Audit. Customer will keep accurate records of its use of the Software. Once a year, or more often if Licensor has a good-faith reason, Licensor may verify Customer's compliance with this Agreement on at least 5 business days' written notice. The audit takes place during normal business hours, by Licensor or an independent auditor bound by confidentiality. Licensor bears the audit's cost, unless it shows Customer used materially more than it licensed. In that case Customer pays the cost of the audit and the license fees for the excess use.

3. Fees and billing

3.1 Fees. Customer pays the fees stated in the Order. Depending on the Order, fees may be annual or multi-year license fees, maintenance fees, usage-based fees (for example per vCPU-hour or per user), or a combination.

3.2 Direct Orders. For Orders placed with Licensor, Licensor invoices Customer as stated in the Order. Amounts are due within the period stated in the Order, in the currency Licensor specifies. Fees exclude taxes; Customer pays all sales, use, VAT, and similar taxes, except taxes on Licensor's income. Overdue amounts bear a late charge of 1.5% per month, or the highest rate the law allows if lower. Customer may not offset amounts it believes Licensor owes it against payments. If the law requires Customer to withhold tax from a payment, Customer will withhold only the minimum required, pay it to the tax authority, and send Licensor the official receipt within 60 days. Licensor may suspend the license, after 15 days' written notice, for undisputed amounts more than 30 days overdue.

3.3 Marketplace and reseller Orders. For Orders placed through a Marketplace, the Marketplace Provider invoices and collects fees through Customer's account with it, under Customer's agreement with that provider. That agreement governs payment terms, currency, taxes the provider collects, and billing disputes. For Orders placed through a reseller, Customer pays the reseller under their agreement.

3.4 Other costs. Licensor's fees do not include:

  • infrastructure costs: Customer's own servers and data centers, or cloud compute, storage, and networking that a cloud provider bills separately;
  • AI Provider charges, which the AI Provider bills to Customer under Customer's own account (Section 4); or
  • hardware and third-party software in Customer's Deployment Environment.

3.5 Price changes. Licensor may change list prices for new Orders and renewals. On a Marketplace, list-price changes follow that Marketplace's notice rules. Prices fixed in an Order stay fixed for its term.

3.6 No refunds. Except as stated in Sections 3.7 and 7.2 or required by law, fees paid are non-refundable.

3.7 Acceptance (direct and reseller Orders). Customer has 30 calendar days from receipt of the Software to accept or reject it. Customer may reject the Software only if it fails to substantially comply with the Documentation. The Software is deemed accepted on the earlier of Customer putting it into commercial use or the end of the 30 days. If Customer rejects the Software, Licensor will, at its option, replace it or refund the fees paid for it; on a refund, the license for that Software ends and Section 8.4 applies. THIS IS CUSTOMER'S SOLE AND EXCLUSIVE REMEDY, AND LICENSOR'S SOLE OBLIGATION, IF CUSTOMER REJECTS THE SOFTWARE. LICENSOR IS NOT LIABLE FOR THE COST OF SUBSTITUTE SOFTWARE.

4. Customer Data and AI Providers

4.1 Customer Data stays with Customer. The Software runs in Customer's Deployment Environment, on premises (including air-gapped networks) or in Customer's own private or public cloud account. Licensor does not host the Software and has no access to the Deployment Environment or Customer Data, unless Customer grants access, for example during a support session. Customer owns Customer Data. Licensor claims no rights in it and will not use it to train models.

4.2 Customer's responsibilities. Customer is responsible for the Deployment Environment's security, access controls, network rules, backups, and compliance with laws that apply to Customer Data.

4.3 AI Providers. Some Software sends prompts and Customer Data to the AI Provider Customer chooses. Customer supplies the AI Provider account and credentials. Customer's use of an AI Provider is governed by Customer's own agreement with that provider, which also sets its fees, data handling, and usage limits. Licensor is not responsible for AI Provider availability, performance, charges, or treatment of data. Customers who need data to stay on premises may license MooreLLM, which runs in the Deployment Environment and is covered by this Agreement.

4.4 License and usage information. The Software may report license checks and usage counts (for example seats in use, vCPU-hours, or license-server activity) to Licensor or to the Marketplace Provider, for licensing and billing. This information does not include Customer Data.

5. Ownership, third-party components and updates

5.1 Ownership. The Software is licensed, not sold. Licensor and its licensors keep all right, title, and interest in the Software, the Documentation, and all related intellectual property, including copies, modifications, and derivative works. All rights not expressly granted in this Agreement are reserved. This Agreement grants no right to use Licensor's names, logos, or trademarks, such as Moores Lab AI and VerifAgent, except to identify the Software as Licensor's.

5.2 Confidentiality. Each party will protect the other's Confidential Information, using at least the care it uses for its own and never less than reasonable care. Each party will use the other's Confidential Information only to perform or exercise rights under this Agreement. It will share it only with employees, contractors, and advisors who need to know it and are bound by confidentiality duties at least as strict as these. "Confidential Information" means:

  • for Licensor: the Software (in any form), Documentation, license keys, Custom Tooling, the ideas and algorithms they contain, and the pricing in any Order; and
  • for Customer: Customer Data, including specifications, designs, RTL, and test benches, and any other non-public information Customer gives Licensor, such as during support.

Confidential Information does not include information that is or becomes public through no fault of the receiving party, that the receiving party already had lawfully, that it develops independently, or that it receives lawfully from a third party without a duty of confidence. If the law or a court order requires disclosure, the receiving party will give the other party prompt notice, where lawful, and help it seek protective treatment. These duties last while this Agreement is in force and for 5 years after, and for trade secrets and Customer Data as long as they remain confidential.

5.3 Feedback. Licensor may use any suggestions Customer provides about the Software without obligation to Customer.

5.4 Third-party and open-source components. The Software includes third-party components, such as operating systems, databases, and other open-source software, which are licensed under their own terms. Those terms are listed in the Software's notices. They govern those components where they grant broader rights or conflict with this Agreement. Where an open-source license requires it, Licensor will provide the corresponding source code on written request to support@mooreslab.ai, for at least three years after Licensor last distributes that release. To the extent the applicable open-source license allows, open-source components are provided "as is", without warranty, and neither Licensor nor their licensors are liable for them.

5.5 Updates. While Customer has active maintenance or an active subscription, Licensor provides the updates it makes generally available: by download, new license files, or new Marketplace images. Supported versions are set out in Attachment B. The Software may contact Licensor's or the Marketplace Provider's servers to check for updates or validate its license.

5.6 Customer's designs and output. Customer owns its designs and everything Customer and its Authorized Users create with the Software: specifications, RTL, test benches, test plans, documents, and other output, together with the intellectual property rights in them. Licensor's rights in the Software, Documentation, and Custom Tooling are not affected, even where parts of them appear in that output.

5.7 Third-party proprietary components. The Software may include, or install on first use, proprietary software from other companies, such as AI Providers' command-line tools and remote-desktop software. Those components are licensed by their providers under the providers' own terms, which are listed in the Software's notices. By using them, Customer and its Authorized Users accept those terms. Licensor may replace, update, or remove such components, or change how they are installed, as long as the Software keeps materially the same functions.

6. Support

Licensor provides support at support@mooreslab.ai on business days (U.S. Central Time). Support covers installation, configuration, and defects in supported releases. It does not cover Customer's hardware, networks, or cloud infrastructure, AI Providers, third-party tools, or changes Customer makes to the Software or its environment. Maintenance and support for direct Orders are included or priced as stated in the Order, and described in Attachment B. Response times and other service levels apply only if the Order includes them.

7. Warranty, indemnity and liability

7.1 Limited warranty and disclaimer. Where Licensor delivers the Software on physical media, Licensor warrants that the media will be free from defects in materials and workmanship under normal use for 90 days after delivery. Customer's sole remedy for breach of this warranty is replacement media. EXCEPT FOR THAT WARRANTY, THE SOFTWARE AND DOCUMENTATION ARE PROVIDED "AS IS". TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE. THE SOFTWARE GENERATES OUTPUT USING AI MODELS, WHICH MAY BE INACCURATE, INCOMPLETE, OR INAPPROPRIATE. CUSTOMER IS RESPONSIBLE FOR REVIEWING AND VERIFYING ALL OUTPUT BEFORE RELYING ON IT, INCLUDING IN ANY HARDWARE OR SOFTWARE DESIGN.

7.2 Infringement indemnity. Licensor will defend Customer against any third-party claim that the Software, as delivered by Licensor and used under this Agreement, infringes a United States or European Union patent, copyright, or trademark, or misappropriates a trade secret. Licensor will pay damages and costs finally awarded against Customer, or agreed by Licensor in settlement. Customer must:

  1. notify Licensor promptly in writing of the claim;
  2. give Licensor sole control of the defense and settlement; and
  3. provide reasonable cooperation, at Licensor's expense.

If the Software is, or Licensor believes it may be, subject to such a claim, Licensor may, at its option: obtain the right for Customer to keep using it; modify or replace it so it does not infringe; or end the license and refund a pro-rata portion of the license fees Customer paid for that Software, based on a three-year straight-line amortization of those fees. Licensor has no obligation for claims arising from: Customer Data; AI Provider services or output; third-party or open-source components; combinations with products, data, or processes Licensor did not supply or require in the Documentation; changes not made by Licensor; Licensor's compliance with Customer's designs, specifications, or instructions; Customer's continued use after Licensor offered a non-infringing update or workaround; or use in breach of this Agreement. Customer must show that a claim falls under this section and that no exclusion applies. This section states Licensor's entire liability, and Customer's exclusive remedy, for infringement claims.

7.3 Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THEIR POSSIBILITY; AND
  • LICENSOR'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE LICENSE FEES CUSTOMER PAID UNDER THIS AGREEMENT. LICENSOR'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO MAINTENANCE AND SUPPORT (ATTACHMENT B) WILL NOT EXCEED THE MAINTENANCE AND SUPPORT FEES CUSTOMER PAID IN THE PREVIOUS 12 MONTHS.

These limits do not apply to Customer's breach of Section 2.3 or to Customer's infringement of Licensor's intellectual property.

8. Term and termination

8.1 Term. This Agreement starts when Customer accepts it and lasts while Customer has an active Order. Each license lasts for the term in its Order. A usage-based Marketplace Order lasts until Customer cancels it on the Marketplace.

8.2 Termination for breach. Either party may terminate this Agreement if the other materially breaches it and does not cure the breach within 30 days of written notice. Either party may also terminate on notice if the other becomes insolvent, makes an assignment for the benefit of creditors, has a receiver or trustee appointed, or is the subject of bankruptcy proceedings not dismissed within 60 days. Licensor may suspend or terminate the license immediately, on notice, if Customer breaches Section 2.3.

8.3 Channel events. A Marketplace license ends automatically if the Order ends, if the Marketplace Provider stops billing for it (for example, Customer's billing account is closed), or if Licensor withdraws the Software from that Marketplace. If Licensor withdraws Software, Customer may keep using its deployed release until the end of any committed term already paid for.

8.4 Effect of termination. When a license ends, Customer will stop using that Software and, within 5 days, delete all copies, deployments, images, and license keys of it, or return them to Licensor. On request, an officer of Customer will certify this in writing. Customer may export Customer Data first. Sections 2.3, 3 (for fees owed), 4.1, 5, 7, 8.4, and 9 survive termination.

9. General

9.1 Marketplace Providers and resellers are not parties. This Agreement is between Licensor and Customer only. No Marketplace Provider (such as Google, Amazon Web Services, or Microsoft) or reseller is a party to it, and none has obligations under it. Customer's use of a cloud platform or Marketplace is governed by Customer's agreement with that provider.

9.2 Export control. The Software is subject to U.S. export laws, including the Export Administration Regulations, and to applicable sanctions. Customer will not export, re-export, or give access to the Software in violation of those laws, including to embargoed countries or restricted parties.

9.3 U.S. Government rights. The Software and Documentation are "commercial computer software" and "commercial computer software documentation". Under FAR 12.212 and DFARS 227.7202, U.S. Government users acquire only the rights stated in this Agreement.

9.4 Governing law and venue. This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Neither the United Nations Convention on Contracts for the International Sale of Goods nor the Uniform Computer Information Transactions Act (UCITA), in any form adopted, applies; to the extent UCITA could apply, the parties opt out of it. The state and federal courts in Travis County, Texas, have exclusive jurisdiction, and each party consents to them. Either party may seek injunctive relief in any court to protect its intellectual property.

9.5 Assignment. Customer may not assign this Agreement without Licensor's written consent, except to a successor in a merger or sale of substantially all of Customer's assets, with notice to Licensor. Licensor may assign this Agreement to an affiliate or a successor.

9.6 Force majeure. Neither party is liable for delays or failures, other than payment obligations, caused by events beyond its reasonable control. These include failures of a cloud provider, Marketplace Provider, or AI Provider.

9.7 Notices. Licensor sends notices to Customer at the contact in the Order or, for Marketplace Orders, the contact email in Customer's Marketplace account. Customer sends notices to Licensor at Advanced Moore Machines Inc., 2920 Windsor Rd #A, Austin, TX 78703, with a copy by email to support@mooreslab.ai.

9.8 Changes to this Agreement. Licensor may update this Agreement for new Orders and renewals by publishing a new version at its listed URL. Changes do not affect a committed term already in place.

9.9 Entire agreement. This Agreement, together with the Order, is the entire agreement between the parties about the Software. It supersedes prior proposals and understandings. If this Agreement conflicts with a private offer, the private offer controls. Terms in a Customer purchase order have no effect. If any provision is unenforceable, the rest stays in effect. A failure to enforce a provision is not a waiver.

9.10 Independent parties. The parties are independent contractors. This Agreement creates no partnership, agency, or employment relationship.

9.11 Amendments. Apart from updates under Section 9.8 for new Orders and renewals, this Agreement may be changed only in a writing that refers to it and is signed by authorized representatives of both parties.

9.12 Remedies. Rights and remedies under this Agreement are cumulative, except where it states an exclusive remedy. A breach of Section 2.3 or 5.2 may cause harm that money cannot remedy, so the affected party may seek an injunction without posting bond, in addition to other remedies.

9.13 Construction and language. Headings are for convenience only. "Including" means "including without limitation". No rule of construction against the drafter applies. This Agreement is written in English, and the English version controls over any translation.

Addendum A — Product-Specific Terms

The terms below add to this Agreement for the products named. If they conflict with the body of this Agreement, they control for that product.

A.1 SpecAgent. License Type: seat-based, unless the Order says floating. The number of Seats, meaning concurrent Authorized Users, is as stated in the Order and is enforced by the Software's built-in seat server.

A.2 MooreIP family: SpecAgent, VerifAgent, DebugAgent, CoverageAgent, and, when released, DesignAgent and SignoffAgent. License Type: floating, unless the Order says node-locked. Licenses are fixed-term or perpetual, as the Order states. Each Order states:

  • Products and part numbers (for example: VerifAgent, part 1001)
  • License Type and term (for example: Floating, fixed term of 12 months)
  • Number of licenses (for example: 5 concurrent users)
  • Designated site (for example: Customer's address, or "Online delivery")
  • Platforms (for example: Single or multi-platform)

SpecAgent is covered by A.1 instead.

A.3 MooreSoC family, including SOCVerify when released. Same terms as A.2. Where a MooreSoC product works across a whole SoC design, the Order may license it per project or per design instead of per user; if so, the Order names the project or design.

A.4 MooreLLM. License Type: as the Order states, for deployment only in Customer's on-premises Deployment Environment, including air-gapped networks.

  • Model weights are Software. MooreLLM's model weights, tokenizer, and configuration are Licensor's Confidential Information and part of the Software. Customer may not copy them outside the Deployment Environment or extract, distill, or reverse engineer them.
  • No competing models. Customer may not use MooreLLM or its output to train or improve a model offered to third parties.
  • Customer hardware. Customer provides and operates the servers and GPUs MooreLLM runs on. The Documentation lists the minimum requirements.
  • Customer Data stays Customer's. Customer Data used with MooreLLM, including any data used to adapt or fine-tune it, remains Customer's under Sections 4.1 and 5.6. Licensor does not receive it unless Customer sends it, for example during support.
  • Adapted models. If Licensor or Customer fine-tunes MooreLLM for Customer, the adapted model is licensed to Customer for the term of the MooreLLM license, for Customer's internal use only, and Licensor will not use it for anyone else.

Attachment B — Maintenance and Support

This Attachment applies to direct and reseller Orders that include maintenance, and to subscription and Marketplace Orders, which include it at no extra charge.

B.1 Definitions.

  • "Error" means a defect in the Software or Documentation that makes the Software fail to operate materially as the Documentation describes. A problem is not an Error if it is caused by Customer's misuse, third-party software or hardware, changes by anyone other than Licensor, or Customer not installing Workarounds, Updates, Upgrades, or Releases Licensor provided.
  • "Release" means a major new version, shown by a change left of the decimal point (for example v1.0 to v2.0).
  • "Upgrade" means a change to the Software's overall functions, shown by a change right of the decimal point (for example v1.0 to v1.1).
  • "Update" means a change that corrects Errors or adds minor improvements within a version (for example within v1.0).
  • "Workaround" means a temporary change or patch that avoids an Error.

B.2 What maintenance includes.

  • Support: email support at support@mooreslab.ai and online Documentation, on business days during Licensor's normal business hours (U.S. Central Time), excluding Licensor's holidays.
  • Error correction: Licensor will use commercially reasonable efforts to correct Errors reported through its reporting process, by an Update, a Workaround, or corrected Documentation. Installing them may require Customer to rebuild files or make related changes.
  • New versions: the Releases, Upgrades, and Updates Licensor makes generally available to maintenance customers, in object-code form. They become part of the Software. Licensor decides which offerings are new products; new products are not included.

B.3 Supported versions. Licensor supports the current Release, and the Release before it for 6 months after the current Release becomes commercially available. Support covers unmodified Software on the operating systems and environments the Documentation lists.

B.4 Customer's part. To receive maintenance, Customer will:

  1. name trained Designated Persons, who are Licensor's only point of contact for support; Licensor may set a reasonable limit on their number;
  2. report problems through Licensor's current reporting process, with the information needed to reproduce them;
  3. cooperate fully and give Licensor reasonable access to information and, where Customer agrees, to systems;
  4. follow the Documentation and Licensor's reasonable instructions to resolve problems; and
  5. pay maintenance fees on time.

B.5 Exclusions. Maintenance does not cover: versions outside B.3; Software that someone other than Licensor has changed or embedded in other software; unsupported environments; or problems caused by misuse, negligence, or events beyond Licensor's control.

B.6 Additional services. Support outside this Attachment, including work outside Licensor's normal business hours at Customer's request, is provided at Licensor's then-standard rates, invoiced monthly and due within 30 days.

B.7 Lapse and reinstatement. If maintenance lapses for more than 30 days, Customer may reinstate it, where Licensor still offers it, by paying the maintenance fees for the lapsed period, Licensor's then-current reinstatement fee, and the fee for the new term.

B.8 Changes. Licensor may update this Attachment on 60 days' written notice, if the update applies to all its maintenance customers.

B.9 Remote sessions. If Customer chooses to share a screen or allow remote access for support, Licensor will use that access only to provide support, and Customer may end the session at any time.
